Terms of Service

These Terms of Service ("Terms") govern your use of neropoint.com (the "Site") and any services provided by Neropoint LLC ("Neropoint," "we," "us," or "our"). By using the Site or engaging Neropoint for services, you agree to these Terms.
1. About Neropoint
Neropoint LLC is an Arizona limited liability company that designs, builds, and operates lead intake, client communication, and operational automation systems for law firms.
2. Use of the Site
The Site is provided for informational purposes. You may use it to learn about Neropoint, contact us, and schedule consultations.
You agree not to:
- Use the Site for any unlawful purpose
- Attempt to interfere with the Site's functionality or security
- Use any automated system, bot, or scraper to access the Site without our written permission
- Misrepresent your identity or affiliation when contacting us
3. Services
Neropoint provides custom-built automation systems and ongoing operational services to law firm clients. The specific services, deliverables, pricing, and terms for any client engagement are governed by a separate written services agreement between Neropoint and that client. These Terms do not create a services relationship by themselves.
4. Communications
By contacting Neropoint through the Site, by phone, or by any other means, you consent to receive responsive communications from us. This may include email, phone calls, and text messages. Text message communications are governed by the SMS provisions in our Privacy Policy.
5. Intellectual Property
Site content. All content on the Site, including text, design, logos, and graphics, is the property of Neropoint LLC or its licensors and is protected by intellectual property laws. You may not copy, reproduce, distribute, or create derivative works from Site content without our written permission.
Client work product. For client engagements, intellectual property terms are governed by the applicable services agreement. Absent a written agreement to the contrary, Neropoint retains ownership of its proprietary methods, templates, tools, and underlying systems, while clients receive a license to use the specific configurations and integrations built for their business.
6. Fees and Payment
Pricing for services is set forth in each client's services agreement. Site visitors do not incur charges for using the Site or contacting Neropoint.
7. Confidentiality
Information shared between Neropoint and prospective or actual clients during discovery calls, consultations, or engagements is treated as confidential. Neropoint will not disclose client confidential information except as required to perform services, comply with law, or with the client's consent.
8. No Legal Advice
Neropoint is not your attorney and these Terms do not create an attorney-client relationship. Although Neropoint's founder is a J.D., Neropoint provides operations and technology services — not legal advice. Nothing on the Site or in any communication with Neropoint should be construed as legal advice. For legal questions, consult a licensed attorney in your jurisdiction.
9. Third-Party Services
Neropoint's services may involve integrating with or operating through third-party platforms (for example, Twilio, Google, Calendly, Zapier, e-signature providers, and others). These platforms are governed by their own terms and privacy policies. Neropoint is not responsible for the acts, omissions, or service interruptions of third-party providers.
10. Disclaimer of Warranties
The Site and any services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Neropoint does not warrant that the Site or services will be uninterrupted, error-free, or free of harmful components. Specific warranties applicable to client engagements, if any, are set forth in the applicable services agreement.
11. Limitation of Liability
To the maximum extent permitted by law, Neropoint's total liability arising out of or related to these Terms, the Site, or any services provided shall not exceed the total fees paid by the affected client to Neropoint during the twelve (12) months preceding the event giving rise to the claim. For non-client Site visitors, Neropoint's total liability shall not exceed one hundred dollars ($100).
In no event shall Neropoint be liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to lost profits, lost revenue, lost data, or business interruption, even if Neropoint has been advised of the possibility of such damages.
The foregoing limitations do not apply to liability arising from Neropoint's gross negligence, willful misconduct, or fraud.
12. Indemnification
You agree to indemnify and hold harmless Neropoint, its members, officers, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of your breach of these Terms or your misuse of the Site.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Arizona, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms, the Site, or any services shall be resolved exclusively in the state or federal courts located in Maricopa County, Arizona. You consent to the personal jurisdiction of those courts and waive any objection to venue.
14. Modifications to These Terms
Neropoint may update these Terms from time to time. The "Effective Date" at the top of these Terms indicates when they were last revised. Continued use of the Site after changes are posted constitutes acceptance of the updated Terms.
15. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
16. Entire Agreement
These Terms, together with the Privacy Policy and any services agreement between Neropoint and a client, constitute the entire agreement between Neropoint and you regarding the subject matter described.
